By accessing or using River ("the Service"), operated by River Technologies ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

2. Account Terms

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

3. Description of Service

River is a data visualization and operations platform that connects to enterprise resource planning systems, including Oracle NetSuite. The Service processes, transforms, and displays your ERP data through a managed data pipeline. We do not guarantee uninterrupted or error-free operation of the Service.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse-engineer, decompile, or disassemble any aspect of the Service.
• Share your account credentials with unauthorized third parties.

5. Intellectual Property

The Service, including its software, design, and documentation, is owned by River Technologies and protected by intellectual property laws. Your use of the Service does not grant you ownership of any intellectual property rights in the Service or its content. You retain all rights to the data you provide through the Service.

6. Data Processing

You grant us the right to process your ERP data solely to provide and improve the Service. We will not sell your data to third parties. Data processing is governed by our Privacy Policy.

7. Limitation of Liability

To the maximum extent permitted by law, River Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.

8. Termination

We may suspend or terminate your access to the Service at any time for conduct that we determine violates these Terms or is harmful to other users or the Service. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.
